Strive And Semler Scientific Merge To Form Bitcoin Treasury Vehicle With 10,900 BTC

Asset management firm Strive Inc. today announced a merger with health tech firm Semler Scientific to create a new Bitcoin (BTC) treasury company that will hold more than 10,000 BTC on its balance sheet.

Strive Merges With Semler Scientific, Expands Bitcoin Holdings

According to an announcement earlier today, US politician and entrepreneur Vivek Ramaswamy’s Strive Inc. has inked a merger deal with Semler Scientific in an all-stock transaction.

In addition, Strive announced the acquisition of 5,816 BTC – purchased for a total of $675 million – at $116,047 per coin. Today’s purchase has increased Strive’s total BTC holdings significantly, pushing them to 5,886 BTC.

The merger deal with Semler Scientific represents an approximately 210% premium, equivalent to roughly $90.52 per share. These estimates are based on the trading price of Semler Scientific common stock and Strive Class A common stock as of September 19.

Essentially, each common share of Semler Scientific will be swapped for 21.05 Class A shares of Strive. Notably, Strive aimed to avoid debt-maturity risk, and subsequently pitched a “preferred equity-only” model. The company added that it aims to grow BTC per share faster than the spot BTC price.

Notably, the newly created company will hold more than 10,900 BTC on its balance sheet. While Strive made its first major BTC purchase just before the merger, Semler Scientific has been a fairly established name when it comes to companies that have adopted a Bitcoin treasury strategy.

According to data from Coingecko, Semler Scientific ranked 18th on the list of public companies that hold BTC on their balance sheets. However, following today’s announcement, the new firm could rank 13th in the updated list, behind the likes of Coinbase and Tesla.

The merger between Strive Inc., and Semler Scientific has already been approved by the boards of directors of both firms. Commenting on the development, Matt Cole, Chairman and CEO, Strive, said:

This merger cements Strive’s position as a top Bitcoin treasury company, and we believe our alpha-seeking strategies and capital structure position us to outperform Bitcoin over the long run. This transaction showcases how we can grow Bitcoin holdings and Bitcoin per share at an unmatched pace in the industry to drive equity value accretion.

BTC Corporate Adoption Continues To Grow

Despite BTC’s recent stagnant price action, corporate adoption of the flagship cryptocurrency continues to grow at a rapid pace. For example, Japanese investment firm Metaplanet recently announced the purchase of another 136 BTC.

Similarly, Strategy added another 535 BTC to its reserves earlier this week, extending its lead as the top corporate holder of the digital asset. In the same vein, Cyprus-based Robin Energy allocated $5 million to its Bitcoin treasury strategy.

Most recently, Wall Street veteran Jordi Visser stated that the US financial firms are likely to raise their BTC allocations before the end of the year. At press time, BTC trades at 112,801, down 2.2% in the past 24 hours.

MSI enters the US Electric Vehicle charger market with EV Life Series

When I think of MSI, I think of motherboards, video cards, gaming monitors, and, more recently, PC gaming handhelds. So, the thought of MSI entering the electric vehicle (EV) was a foreign concept to me. Unbeknownst to me, even as an enthusiast with two EVs, MSI has marketed EV chargers in other parts of the world for quite some time. However, the company is now ready to expand to North America with MSI’s EV Life and EV Life Plus EV chargers.

The EV Life Series is available in four different models: you can opt for a SAE J1772 or NACS (Tesla) connector in NEMA 14-50 (think U.S. dryer outlet) or hardwired configurations. No matter which SKU you choose, you’ll receive an incredibly long 24.6-foot, IP55-rated charging cable and 14.4kW/60A that will add between 43 and 59 miles of range per hour to the average EV (think Tesla Model 3 or Hyundai Ioniq 7). If you’re driving something like a Chevrolet Silverado EV with a massive 200 kWh battery, you’ll probably see those numbers halved.

When it comes to EVs, many owners like to geek out on charging stats and electricity running costs. With that in mind, the EV Life Series has built-in Bluetooth, which, when paired with the MSI aConnect app, provides a powerful tool for monitoring your EV and setting up scheduling routines. With aConnect, you can monitor current and historical charging times, how much you’re saving by using electricity over a comparable gasoline- or diesel-powered vehicle, the total cost of the electricity you’ve pumped into your EV, and how much carbon emissions you’ve saved.

The EV Life Plus Series is in many ways similar to its lesser sibling. You’ll find the same four connection options (NACS with NEMA 14-50 or hardwired, or SAE J1772 with NEMA 14-50 or hardwired). You also get the same 14.4KW/60A charging capabilities as on the EV Life. However, the EV Life Plus amps things up with RFID authentication support along with Wi-Fi and Ethernet connectivity. The latter two features allow you to monitor the charging progress of your vehicle from anywhere, instead of the short-range limitations of Bluetooth-only support.

The EV Life Plus Series also supports the OCPP 1.6J standard, which provides a secure, industry-standard communications protocol for charging. This helps avoid vendor lock-in through proprietary standards, which is why MSI’s EV chargers can work not only with Tesla vehicles, which helped popularize the NACS connector, but also with vehicles that use the SAE J1772 connector.

The MSI EV Life with NACS or SAE J1772 connector is available for $449. If you want to connect to your home’s grid with a NEMA 14-50 connection, the price increases to $499. The EV Life Plus starts at $549.99 for a hardwired connection with a NACS or SAE J1772 connector. You’ll also pay a $50 premium for a NEMA 14-50 electrical hookup. The chargers are available directly from MSI or from Amazon. For comparison, Tesla’s 11.5kW/48A Wall Connector is $420.

SpaceX Targets an Orbital Starship Flight with a Next-Gen Vehicle in 2026

“The metal tiles … didn’t work so well,” he said. “They oxidized extremely nice in the high oxygen environment. So, that nice orange color, kind of like a [space] shuttle external tank color, maybe paying homage to the shuttle program, was created by those three little metal tiles up on top.”

Gerstenmaier has a talent for explaining complex technical concepts in a digestible manner. He began his career as an aerospace engineer working on the space shuttle program at NASA in 1977. He rose through the ranks at NASA to become head of all of the agency’s human spaceflight programs, then joined SpaceX in 2020.

The experiment with metallic tiles is emblematic of the way SpaceX is developing Starship. The company’s engineers move quickly to make changes and integrate new designs into each test flight. Metallic heat shield tiles aren’t a new technology. NASA tested them in labs in the 1970s but never flew them.

“I think we learned a lot by taking them to flight, and we still had enough protection underneath that they didn’t cause a problem,” Gerstenmaier said. “In most of the tiles, there are fairly large gaps, and that’s where we’re seeing the heat get through and get underneath.”

A mastery of Starship’s heat shield is vital for the future of the program. The heat shield must be durable for Starship to be rapidly reusable. Musk eyes reflying Starships within 24 hours.

NASA’s reusable space shuttles used approximately 24,000 delicate ceramic tiles to protect them from the hottest temperatures of reentry, but the materials were delicate and damage-prone, requiring refurbishment and touchups by hand between missions. SpaceX’s Dragon crew capsule has a reusable structure that underlies the heat shield, but the heat shield material itself is only used once.

For Starship, SpaceX needs a heat shield that will stand up to the rigors of spaceflight—intense vibrations during launch, extreme thermal cycles in space, the scorching heat of reentry, and the crush of the launch pad’s catch arms at the end of each mission. Musk has called the ship’s reusable heat shield the “single biggest” engineering challenge for the Starship program.

Continuing his presentation, Gerstenmaier pointed to a patch of white near the top of Starship’s heat shield. This, he said, was caused by heat seeping between gaps in the tiles and eroding the underlying material, a thermal barrier derived from the heat shield on SpaceX’s Dragon spacecraft. Technicians also intentionally removed some tiles near Starship’s nose to test the vehicle’s response.

“It’s essentially a white material that sits on Dragon, and it ablates away, and when it ablates it creates this white residue,” Gerstenmaier said. “So what that’s showing us is that we’re having heat essentially get into that region between the tiles, go underneath the tiles, and this ablative structure is then ablating underneath. So we learned that we need to seal the tiles.”

The primary structure for Starship is made of a special alloy of stainless steel. Most other spacecraft designed for reentry, like the space shuttle and Dragon, are made of aluminum. The steel’s higher melting point makes Starship more forgiving of heat shield damage than the shuttle.
