CIFR Prices $1.1B Upsized Convertible Note Offering

Cipher Mining (CIFR) priced a $1.08B private offering of a 0.00% convertible senior notes due 2031, upsized from $800M initially.

The notes, senior unsecured obligations, are convertible at an initial price of $16.03 per share, a 37.5% premium to Thursday’s $11.66 close. Investors may require repurchase in 2029 at par, while Cipher can redeem starting in 2028 if shares trade 30% above the conversion price.

Net proceeds of $1.08B will fund capped call transactions, the Barber Lake data center buildout, and expansion of its 2.4 GW high-performance computing pipeline.

The financing comes as Cipher yesterday secured a $3B AI hosting deal with Google and Fluidstack.

CIFR shares fell as much as 17% on Thursday and are. down a further 1% in premarket trading at $11.55.

The decline in the stock price Thursday was likely driven by delta hedging activity from banks involved in the convertible note deal, which often pressures shares in the short term as counterparties manage their exposure. Similar price action has occurred following past convertible note offerings at Strategy and Semler Scientific.

Bhutan Transfers $107M Bitcoin, With $1.1B BTC Left

The Royal Government of Bhutan transferred more than $100 million worth of Bitcoin this week, raising concerns about potential sell pressure in the market just as the US Federal Reserve delivered its first interest rate cut of 2025.

The Bhutan government-labelled wallet moved 913 Bitcoin (BTC) worth about $107 million into two newly created cryptocurrency wallets on Thursday.

The original wallet still holds 9,652 Bitcoin worth over $1.1 billion, according to blockchain data platform Lookonchain.

The transfers may indicate Bhutan is preparing to sell a portion of its holdings. If the government liquidated its entire stash, it could add more than $1 billion of supply to the market.

It was the first activity in a month from the wallet, which previously moved $92 million worth of Bitcoin on Aug. 18, according to Arkham data.

Bhutan has embraced cryptocurrency under its current monarch, King Jigme Khesar Namgyel Wangchuck, including initiatives such as hydro-powered Bitcoin mining and a crypto reserve.

In September 2024, Arkham identified the first Bitcoin address of Bhutan’s investment arm, Druk Holding and Investments, which held about $780 million in crypto, showcasing the benefits of cryptocurrency adoption for developing economies.

Whales stir as Fed cuts rates

The Bhutan transfers came as other large holders moved coins ahead of potential volatility.

On Wednesday, an unknown whale woke up after 12 years of dormancy to transfer $116 million worth of Bitcoin, which he initially acquired for just $847 per token, worth around $847,000 at the time.

The transfer occurred shortly before Wednesday’s highly anticipated Federal Open Market Committee (FOMC) meeting, which delivered the first US interest rate cut of the year.

While Bitcoin initially topped $117,000 on the interest rate cut announcement, the “median FOMC projection of just 50 bps in total cuts this year tempers the optimism,” introducing short-term volatility risks, Ryan Lee, chief analyst at Bitget exchange, told Cointelegraph, adding:

“Historically, crypto has dipped 5–8% percent following rate cuts before resuming its upward path, suggesting a potential ‘sell the news’ phase in the days ahead.”

“In the near term, Ethereum and Solana may outperform on ETF-driven inflows and network catalysts, while Bitcoin consolidates before targeting $123,000 to $150,000 if subsequent cuts materialize,” the analyst added.

Bitcoin Liquidity Weakens As Stablecoin Growth Down To $1.1B

Data shows stablecoin market cap expansion has slowed to just $1.1 billion recently, signaling weakening liquidity for Bitcoin and other coins.

Stablecoin Market Cap Growth Is Significantly Down Compared To Earlier Highs

According to data from on-chain analytics firm CryptoQuant, stablecoin growth has been cooling recently. “Stablecoins” refer to cryptocurrencies that have their price tied to a fiat currency, with US Dollars being the most popular option.

Investors generally store their capital in the form of these tokens when they want to avoid the volatility that comes with coins like Bitcoin. Many holders who buy into stables, however, eventually plan to venture back into the volatile side of the market. Since stablecoins can potentially be swapped into BTC and other assets, their supply can be looked at as a sort of available “dry powder” for the cryptocurrency sector. As such, expansions in this supply can prove to be a bullish sign.

Now, here is the chart shared by CryptoQuant that shows the trend in the 7-day change in the market cap of the major USD-based stables over the past year:

As displayed in the above graph, the late 2024 bull run was accompanied by a sharp positive change in the market cap of the stablecoins. At the peak, these assets observed weekly net inflows of around $7.7 billion. Another wave of inflows occurred in January of this year, with the metric peaking at $6.6 billion. Since then, the market has seen a cooldown in interest, with inflows into stables staying far from the earlier highs.

From the chart, it’s visible that the sharp burst in capital flows earlier this month could only manage a top of $4.8 billion. The interest also lasted quite briefly, and inflows disappeared soon after. At present, the metric is sitting at $1.1 billion, implying the market cap of the stablecoins is still growing, but clearly, the rate at which it’s happening isn’t close to the previous bull rally.

“Liquidity tailwinds are weaker, limiting Bitcoin’s upside momentum,” explains the analytics firm. It now remains to be seen how long the muted stablecoin inflows would last and whether a pivot to outflows would follow next.

In some other news, the Relative Unrealized Loss held by Bitcoin investors is still quite low even after the latest price decline, as on-chain analytics firm Glassnode has pointed out in an X post.

The Relative Unrealized Loss is a measure of the total unrealized loss held by the Bitcoin investors represented as a percentage of the market cap. At present, the metric’s value stands at just 0.5%, which is quite low compared to past bear markets.
